1. Acceptance of Terms

By accessing, browsing, or using this website or any services provided by Crisium Group (“we,” “us,” “our”), you (“you,” “User,” “Client”) agree to be bound by the following Terms and Conditions. If you do not accept these Terms in full, you are not authorized to use our site or services.

2. Nature of Services

Crisium Group provides consulting, strategic advisory, systems design, and professional services. All materials, communications, and services are provided for informational and advisory purposes only and do not constitute legal, financial, or regulated advice.

We expressly disclaim any liability for business outcomes or decisions made based on our advice, deliverables, or recommendations.

3. No Guarantee of Results

We make no express or implied guarantees or warranties regarding outcomes, revenue impact, or business success. Testimonials and case studies are illustrative only. Client performance is dependent on multiple variables beyond our control.

4. Ownership & Intellectual Property

All proprietary frameworks, documents, content, visuals, processes, reports, templates, trademarks, and software provided or referenced by Crisium Group are and remain the exclusive intellectual property of Crisium Group, protected under U.S. and international copyright law.

Unauthorized use, duplication, resale, distribution, reverse engineering, or adaptation is strictly prohibited and may result in civil and/or criminal penalties.

5. Confidentiality & Non-Disclosure

All communications, reports, and data shared with the client are confidential and for internal use only unless otherwise stated in writing.

By engaging with us, you agree not to share, disclose, repurpose, or repackage our materials or strategic guidance outside of your internal team without prior written consent.

6. Client Responsibilities

You agree to:

  • Provide timely and complete access to people, data, and systems required to complete work.

  • Act in good faith throughout the engagement.

  • Make all decisions and approvals promptly and in writing when necessary.

Delays or misrepresentations by the client may result in project pauses, change orders, or additional fees.

7. Fees, Invoicing & Refunds

All pricing and payment terms are outlined in your proposal or scope of work. Late payments may incur 1.5% interest per month or the maximum allowed by law. Fees are non-refundable unless expressly stated in writing.

We reserve the right to pause or terminate service delivery in the event of non-payment.

8. Warranties & Disclaimers

All services are provided “as is” without warranty of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services or deliverables will be uninterrupted, error-free, or secure.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRISIUM GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOST PROFITS

  • LOST BUSINESS

  • LOST DATA

  • BUSINESS INTERRUPTION

  • REPUTATIONAL DAMAGE

Our maximum liability under any circumstance shall not exceed the amount paid by the client within the previous 60 days.

10. Indemnification

You agree to defend, indemnify, and hold harmless Crisium Group and its owners, officers, employees, contractors, affiliates, and representatives from and against all claims, damages, losses, liabilities, and costs (including legal fees) arising from or related to:

  • Your use of our services

  • Violation of these Terms

  • Any act or omission by you or your organization

11. Force Majeure

We are not liable for delays or non-performance due to events beyond our reasonable control, including natural disasters, cyberattacks, third-party platform failures, government action, labor disputes, or service interruptions.

12. Dispute Resolution & Governing Law

All disputes shall first be resolved through good-faith mediation. If unresolved, the dispute shall be submitted to binding arbitration under the American Arbitration Association rules.

Venue and jurisdiction shall be Los Angeles County, California. These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

13. Non-Disparagement

You agree not to make negative or disparaging statements about Crisium Group, its services, owners, or personnel during the engagement or for two (2) years thereafter, whether in public, private, or online formats.

14. Termination

Either party may terminate services with written notice per the terms of the specific engagement. Upon termination, you remain liable for any outstanding fees and use of our IP is prohibited unless otherwise stated.

15. Changes to Terms

We reserve the right to update these Terms at any time. The current version will always be available on our website. Continued use of our services constitutes acceptance of any updates.
